Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Rowkit website, applications, and services (collectively, the “Service”) operated by MATEUS MONTEIRO LLC (“Company”, “we”, “us”, or “our”), a Florida Limited Liability Company with principal office at 2121 S Hiawassee Rd., Suite 108, Orlando, FL 32835, United States. By creating an account, purchasing a subscription, or otherwise accessing the Service, you (“Customer”) agree to be bound by these Terms.

1. The Service

Rowkit provides Customers with access to a curated library of digital business templates, spreadsheets, presentations, and accompanying documentation (the “Templates”) delivered through customer accounts on our web application.

2. Accounts

You must be at least 18 years old and legally able to enter into a binding contract. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

3. Subscriptions and Billing

Access to Templates is provided under a paid subscription. Fees, billing cycles, and included features are described on our Pricing page. Additional subscription-specific terms — including auto-renewal, cancellation, and free trial rules — are set out in our Subscription Terms and are incorporated into these Terms by reference.

All prices are in United States Dollars (USD) unless stated otherwise. Payments are processed by our payment provider on our behalf. Charges will appear on your card statement as ROWKIT*SUB.

4. License to Templates

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, worldwide license to access, download, and use the Templates for your own internal business purposes and, where the Template is designed for client deliverables (such as proposals, SOWs and policy packs), for delivery to your clients.

You may not:

• Resell, sublicense, or redistribute Templates as your own product;
• Publish Templates in a public library or repository;
• Use Templates to train a machine-learning model;
• Remove or obscure trademarks, credits, or copyright notices except as permitted by the Template's customization workflow.

5. Intellectual Property

The Service and all Templates, source materials, trademarks, and content contained therein are the property of MATEUS MONTEIRO LLC or its licensors. Except for the limited license granted above, no rights are transferred to you.

6. Customer Content

Any content you upload, enter, or generate using the Service (“Customer Content”) remains your property. You grant us a limited license to host, process and display Customer Content solely to provide the Service.

7. Acceptable Use

Use of the Service is subject to our Acceptable Use Policy. Violation may result in suspension or termination without refund.

8. Cancellation, Suspension and Termination

You may cancel your subscription at any time from your dashboard. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or engage in fraudulent or unlawful activity.

9. Refunds

Our refund practice is described in our Refund Policy. In summary: monthly plans can be cancelled any time to stop future charges; annual plans are eligible for a full refund within 30 days of the initial charge.

10. Disclaimers

The Service and Templates are provided “as is” and “as available”. We do not guarantee that any Template will produce specific business, legal, tax, financial or personnel outcomes. Templates are informational only and do not constitute professional advice. You are responsible for evaluating the fit of each Template for your specific circumstances and, where appropriate, consulting a qualified professional.

11. Limitation of Liability

To the maximum extent permitted by law, MATEUS MONTEIRO LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages. Our aggregate liability to you for any claim arising out of or related to these Terms or the Service will not exceed the amounts paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold MATEUS MONTEIRO LLC harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Content, or your violation of these Terms.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for any dispute shall be the state and federal courts located in Orange County, Florida, and the parties consent to personal jurisdiction there.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to Customers by email and take effect thirty (30) days after notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
